These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CARDIGITAL FZCO, a Free Zone Company registered at Dubai Silicon Oasis under IFZA License #15150, United Arab Emirates ("Company," "Seeno.ai," "we," "us," or "our"), governing your access to and use of the Seeno.ai platform and related services (collectively, the "Service").

By creating an account, activating a free trial, subscribing to a plan, or accessing the Service in any manner, you agree to be bound by these Terms and our Privacy Policy. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. If you do not agree, you must not use the Service.

1. Eligibility

The Service is intended for business and professional use. You must be at least 18 years of age and possess the legal capacity to enter into a binding contract. You represent that all information you provide is accurate, current, and complete.

2. Description of Service

Seeno.ai is an AI Brand Intelligence Platform designed for the Dubai real estate market. The Service monitors and tracks brand mentions, visibility, and sentiment across third-party AI platforms, including but not limited to ChatGPT (OpenAI), Perplexity AI, Google Gemini, Anthropic Claude, and Google AI Overview ("Monitored Platforms"), and provides AI-generated reports, insights, and analytics.

The Service is provided on a software-as-a-service (SaaS) basis. We reserve the right to modify, update, or discontinue any features at any time. The availability of monitoring across specific Monitored Platforms is subject to their technical accessibility, terms of service, and API availability.

All insights, reports, metrics, and data provided by Seeno.ai are generated via integrations with third-party Large Language Models (LLMs) and AI systems. Generative AI is inherently probabilistic and unpredictable. All results are provided for informational purposes only and do not constitute financial, investment, legal, or real estate advice. We make no representations or warranties regarding the accuracy, completeness, reliability, or timeliness of AI-generated outputs. Any business decisions you make based on Seeno.ai data are made entirely at your own risk.

3. Account Registration and Security

To use the Service, you must create an account by providing your email address, brand name, and website URL. Authentication is managed via our third-party provider, Supabase.

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately at hello@seeno.ai of any unauthorized access. You may not create multiple accounts, share credentials in violation of your plan terms, or provide false information.

4. Free Trial

We offer a 14-day free trial for new users to evaluate the Service. During the trial period, you may access the Service with the features available for the trial offering.

Each individual or entity is entitled to only one (1) free trial.
At the end of the 14-day period, access to premium features will be suspended unless you upgrade to a paid subscription.
If you provide payment information during the trial and select a plan, your paid subscription will automatically commence at the end of the trial period unless you cancel before expiration.
The free trial is provided "as is" without any warranties.
We reserve the right to modify or discontinue the trial offering at any time.

5. Subscription Plans and Fees

Access beyond the free trial requires a paid subscription. Features, limitations, and fees for each plan are described on our pricing page.

Currency: All fees are denominated and payable in United Arab Emirates Dirhams (AED).
Taxes: Fees are exclusive of applicable taxes, including VAT under UAE Federal Decree-Law No. 8 of 2017. You are responsible for all such taxes.
Billing: Subscriptions are available on a monthly or annual basis and are billed in advance on a recurring basis.
Price Changes: We may modify fees with at least 30 days' prior written notice. Changes take effect at the beginning of the next billing cycle.
Upgrades/Downgrades: Upgrades take effect immediately (prorated). Downgrades take effect at the next billing cycle with no prorated refund.

6. Payment Terms

All payments are processed through Stripe. By subscribing, you authorize us and Stripe to charge the applicable fees to your designated payment method at each billing cycle.

Subscriptions automatically renew unless cancelled prior to the renewal date.
If a payment fails, we may attempt to reprocess, suspend access, or downgrade your plan after a 7-day grace period.
All fees paid are non-refundable except as expressly stated in Section 9.

7. Data Ownership

Your Data: You retain full ownership of all data you input into the Service (brand names, website URLs, account information). We claim no intellectual property rights over your input data.

AI-Generated Outputs: Reports, insights, and analytics generated by the Service based on your inputs are provided for your use under your subscription. However, we retain the right to use aggregated, anonymized, and de-identified data for improving the Service, developing new features, and generating industry benchmarks, provided such data cannot be used to identify you or your brand.

Our Intellectual Property: CARDIGITAL FZCO retains all right, title, and interest in the Seeno.ai platform, including all software, designs, logos, algorithms, and proprietary technology. No intellectual property rights are transferred to you except for a limited, non-exclusive, revocable license to access and use the Service during your subscription.

8. Acceptable Use

You agree not to:

Violate any applicable laws, including UAE federal laws and Dubai real estate marketing regulations (e.g., RERA guidelines).
Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service.
Circumvent any security mechanisms, rate limits, or authentication protocols.
Resell, redistribute, sublicense, or white-label the Service without our express written consent.
Interfere with or disrupt the integrity or performance of the Service or third-party APIs.
Use the Service for any unlawful, fraudulent, or deceptive purpose.
Attempt to obtain multiple free trials or access the Service through unauthorized means.
Upload or transmit viruses, malware, or any harmful code.

9. Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting hello@seeno.ai.

Cancellation takes effect at the end of the current paid billing cycle. You will retain access until that date.
Subject to applicable UAE consumer protection laws, all subscription fees are non-refundable. We do not provide prorated refunds or credits for partially used billing periods.
Upon cancellation, you may export your data via CSV export before access is suspended.
We reserve the right to terminate your account immediately for breach of these Terms, with no obligation to refund any fees.

10. Third-Party Services

The Service relies on third-party services including Supabase (authentication and database), Stripe (payment processing), Resend (email delivery), and AI APIs from OpenAI, Google, Anthropic, and Perplexity. We are not responsible for any downtime, API changes, rate-limiting, or discontinuation by these third parties that may affect Seeno.ai's functionality. References to third-party products are descriptive only; no affiliation, sponsorship, or endorsement is implied.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. CARDIGITAL FZCO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

UNDER NO CIRCUMSTANCES SHALL CARDIGITAL FZCO, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR REPUTATION.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless CARDIGITAL FZCO and its affiliates, directors, officers, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your violation of any applicable laws; (c) your misuse of the Service or its AI-generated data; or (d) any decisions made based on the Service's outputs.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the applicable federal laws of the United Arab Emirates and the local laws of the Emirate of Dubai.

Any dispute, controversy, or claim arising out of or relating to these Terms, including their validity, breach, or termination, shall be subject to the exclusive jurisdiction of the Courts of the Dubai International Financial Centre (DIFC Courts).

Prior to initiating any formal proceedings, the parties agree to attempt to resolve disputes in good faith through direct negotiation for a period of thirty (30) days.

14. Modifications to Terms

We reserve the right to update or modify these Terms at any time. Material changes will be communicated via email or through a prominent notice on the Service at least 30 days prior to the effective date. Your continued use of the Service after the effective date constitutes acceptance. If you do not agree with any modifications, you must discontinue use and cancel your subscription.

15. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Service.
Severability: If any provision is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Waiver: No failure or delay in exercising any right shall constitute a waiver of such right.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Force Majeure: We shall not be liable for any failure or delay caused by circumstances beyond our reasonable control, including natural disasters, government actions, internet disruptions, or third-party service outages.
